Terms of Service
These Terms of Service ("Terms") govern your use of Listora (the "Service") operated by Listora SaaS ("we", "us"). By accessing or using the Service, you agree to these Terms.
1. Eligibility
You must be at least 18 years old and legally authorized to bind the business you register. By creating an account you represent that you meet these requirements.
2. Account Security
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at pluschatgpt856@gmail.com of any unauthorized access.
3. Acceptable Use
You agree not to:
- Use the Service for illegal purposes or to violate anyone's rights
- Send spam, phishing, or unsolicited messages through the Service
- Reverse-engineer, decompile, or attempt to extract source code
- Interfere with or disrupt the Service's infrastructure
- Use automated means (bots, scrapers) except through our documented API
- Resell the Service without a written partnership agreement
- Upload malware, or content that infringes intellectual-property rights
4. Google API Services
When you connect a Google account, Listora accesses your Google data solely to provide the features you enable. Our use complies with the Google API Services User Data Policy, including Limited Use requirements. You may revoke access at any time from your Google Account permissions page.
5. Fees & Billing
Paid plans are billed monthly or annually as selected. Fees are non-refundable except where required by law. You authorize us to charge your payment method on the billing cycle. We may change prices with 30 days' notice.
6. Intellectual Property
Listora, including all software, trademarks, designs, and content, is owned by Listora SaaS. You retain full ownership of the data and content you input. You grant us a limited, worldwide license to process your content solely to provide the Service.
7. Service Availability
We aim for 99.5% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible. We are not liable for downtime caused by force majeure, upstream provider outages (Cloudflare, Google, Cardcom), or circumstances outside our reasonable control.
8. Termination
You may terminate your account at any time from your dashboard. We may suspend or terminate accounts that violate these Terms. On termination, your data will be deleted per our Privacy Policy.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
To the maximum extent permitted by law, Listora SaaS's total liability arising from or related to the Service shall not exceed the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, incidental, special, or punitive damages.
11. Indemnification
You agree to indemnify and hold Listora SaaS harmless from claims, damages, and expenses arising from your use of the Service or your violation of these Terms.
12. Tax Compliance
Listora provides tools to help you comply with Israeli tax requirements (SHAAM digital invoicing, BKMV export). You remain solely responsible for the accuracy of data you enter and for meeting your own tax obligations. Consult a licensed accountant for tax advice.
13. Governing Law
These Terms are governed by the laws of the State of Israel. Disputes shall be resolved exclusively in the competent courts of Tel Aviv-Jaffa.
14. Changes to Terms
We may update these Terms. Material changes will be notified at least 14 days before taking effect.
